Terms of Service

These Terms of Services ("Terms of Service") govern your use of the Platform (defined in Section 2) and Services (the "Services") provided by MapZot, Inc., it subsidiaries and affiliates (“MapZot”, "we," "our," or "us"). These Terms of Service together with the executed Order Agreement create a legal and binding agreement (“Agreement”) between Mapzot and the Client (“Client”, "you" or "User").
2.DESCRIPTION OF SERVICES
We licenses our Software-as-a-Service (SaaS) solution that offers data analytics and insights accessible through our proprietary platform (the “Platform”). Users can access and utilize these insights directly on the Platform or opt to download them in the form of comprehensive reports such as trade area analysis, performance benchmarks, overlaps and VOIDs, market planning, forecasting, location recommendations and location analytics (the “Outputs”). The Platform is designed to provide valuable information and intelligence to aid businesses in making informed decisions and optimizing their operations. The Platform maintains data on millions of points of interest such as but not limited to population and demographics, property records, competitor locations, traffic counts and mobile location data in all states of the United States of America (the “Data”). The Data originates from third parties and consists of publicly available and privately obtained sources. We make no representation or warranty whatsoever with respect to the underlying Data included in any Output. The Client wishes to license the Platform and the Outputs from us under the terms of this Agreement.
3.ACCOUNT REGISTRATION
To access certain features of the Services, you must create an account with us. You agree to provide accurate, complete, and current information when registering for the Services and to update your information as necessary to maintain its accuracy. You are responsible for maintaining the confidentiality of your login credentials and are solely responsible for all activity under your account.
4.LICENSE GRANT
Subject to your compliance with this Agreement, we grant you a revocable, non-exclusive, non-transferable, and limited license to use the Services solely for your internal business purposes. We may revoke the license at any time for any reason. User is prohibited from and shall not permit any User or third party to (a) copy, create a derivative work of, reverse engineer, reverse assemble, disassemble, or decompile the Platform, (b) creating, offering, or selling a competing website, product, or service; (c) reselling the Data to third parties; (d) sublicensing the Outputs to third parties, or (e) otherwise making the Outputs available to third parties. Any permitted exceptions to these restrictions are identified in the Subscription Plan or Order Agreement (the “Permitted Exceptions”). The Client agrees to pay us in accordance with the payment terms identified in Subscription Plan or Order Agreement. This Agreement does not cover bulk data exports or API access, which may be provided per a separate agreement and fee upon request.
5.USER OBLIGATIONS
You agree not to:
- Violate any applicable laws, rules, or regulations.
- Use the Services for illegal, unethical, or harmful purposes.
- Copy, resell, distribute, reverse-engineer, or train models using MapZot.AI data, designs, or services without written consent.
- Interfere with the operation or security of the Services
- Share your account credentials or allow unauthorized access to your account
- Provide access to anyone under the age of 18 years old.
6.FEES AND PAYMENT
6.1 Fees for Service
In connection with the use of our Services, you may be required to pay certain fees. These fees may include subscription charges, one-time fees, or other charges related to the services you access or use (“Fees”). The initial Fees for the Services will be disclosed in the Subscription Plan or Order Agreement and you shall be obligated to pay such Fees upon execution of the Order Agreement as well as any add-on services requested during the Term of the Agreement. Failure to pay may result in suspension or termination of your access to the Services at the sole discretion of MapZot
6.2 Payment Methods
All fees associated with the use of our Services must be paid in full using one of the accepted payment methods: credit card, debit card, ACH transfer, wire transfer, or check. By using our services, you authorize MapZot.AI to charge the selected payment method for all applicable fees, including one-time and recurring charges where applicable. You are responsible for ensuring that your payment information is accurate, valid, and up to date at all times. Service onboarding will begin only after payment has been successfully received and credited to MapZot.AI.
6.3 Billing Cycle
The billing cycle for any recurring fees (e.g., subscriptions) will be as specified in the Subscription Plan or Order Agreement. Fees for subscriptions will be charged on a recurring basis until you cancel your subscription, in accordance with the termination policy outlined in Section 7 of these Terms of Service.
6.4 Late Payments
Upon the failure of the User to pay in full any Payment due hereunder within five days of the due date of such Payment, any late payment will be subject to any costs of collection (including reasonable legal fees) and will bear interest at the rate of one and one-half percent (1.5%) per month (prorated for partial periods) or to the maximum rate permitted by law, whichever is less. If the Payment and Late Payment Amount are not received within fifteen (15) days of the original due date, we reserve the right to suspend Services until full Payment and Late Payment Amount are received. The User agrees to reimburse us for any costs incurred in collecting overdue payments, including reasonable attorneys' fees and collection agency fees. Any disputes regarding invoices must be communicated to us in writing within fifteen (15) days of the invoice date. The Client will pay the undisputed portion of the invoice within the original payment terms. The imposition of the Late Payment Amount shall be in addition to any other rights and remedies of ours under this Agreement upon the occurrence of any other Event of Default.
6.5 Refund Policy
All fees are non-refundable, except in the event of termination by Mapzot.AI, in which case a pro-rated refund will be issued.
6.6 Changes to Fees
We reserve the right to modify or adjust ees at any time. If we increase any fees for ongoing services, we will notify you in advance, and you will have the opportunity to cancel your subscription or stop using the service before the new fees apply.
6.7 Taxes
All fees are exclusive of any applicable taxes, which will be added to your payment at the time of billing, if applicable. You are responsible for paying any taxes, duties, or similar charges that may apply to your purchase of services.
7.TERM AND TERMINATION
The initial Term of this Agreement and the Effective Date are stated in your Subscription Plan or Order of Agreement. We may terminate this Agreement by written notice to the you if User fails to make any payment hereunder within five (5) business days following the due date therefor. In addition, a party may terminate this Agreement by written notice to the other if any of the following events has occurred in respect of the other party: a) a material breach of this Agreement (other than a payment default) which the other party fails to remedy within thirty (30) days of written notice; or b) an insolvency event occurs. You shall have the right to all Outputs in which a credit was exchanged for such Outputs. Any data which has been uploaded or created in layers can be exported by the Client's Administrator prior to the completion of the Agreement.
8.PRIVACY AND DATA PROTECTION
We respect your privacy and are committed to protecting your data. By using our Services, you agree to the collection and use of your data as outlined in our
Privacy Policy.
9.USER TECHNICAL REQUIREMENTS AND SYSTEM SPECIFICATIONS
- Operating System: Windows 10 or later, macOS 11 or later
- Web Browser: Google Chrome (version 100 or later) or Microsoft Edge (version 100 or later)
- Internet Connection: Stable broadband connection with minimum 15 Mbps speed
- Memory: Minimum 8 GB or higher recommended for optimal performance
- Security: Up-to-date antivirus software that does not interfere with MapZot.AI functionality
10.ONBOARDING AND IMPLEMENTATION
The onboarding and implementation activities will begin on the Effective Date and last for a standard duration of 14 days, unless otherwise agreed upon by both Parties. The Onboarding, Training and Implementation period shall extend the term of the Agreement by the same number of days, effectively extending the Agreement’s Term. You acknowledge that delays in payment may impact the onboarding timeline without altering the payment obligations or grace period.
Client Responsibilities you agree to:
- Provide accurate, complete, and timely information required for the onboarding process.
- Assign a designated point of contact (the “Administrator”) who will coordinate with us and facilitate all onboarding activities.
- Ensure that all technical systems and infrastructure necessary for the use of the Platform are ready and accessible, including but not limited to internet connectivity, hardware and recommended browser.
- Cooperate with any training or setup requirements as instructed by us.
Provider Responsibilities we agree to:
- Provide guidance, documentation, and support throughout the onboarding process, including any necessary training materials or sessions.
- Assist with the initial configuration of the Platform, ensuring that the Platform is functional and accessible based on the specifications agreed upon by both parties.
- Resolve any technical issues that arise during the onboarding process in a timely manner.
11.RENEWAL
The Agreement shall renew automatically for the same duration as the Initial Term unless the User notifies us in writing of their decision not to renew 15 days before the current term ends. We will provide a notification of the pending renewal 30 days before the current term ends detailing any changes.
12.SERVICE AVAILABILITY
We will make commercially reasonable efforts to ensure that the Services are available but cannot guarantee uninterrupted access. We may perform maintenance, upgrades, or other actions that may affect the availability of the Services and will provide notification via the Platform and email.
13.INTELLECTUAL PROPERTY
As between the Parties, we retain all rights, titles, and interests to the Platform, the Data and the Outputs (including any Intellectual Property Rights or other rights therein). For the purposes of this Agreement, “Intellectual Property Rights” means all intellectual property rights, including all copyright, patents, trademarks, design rights, trade secrets, domain names, know-how and other rights of a similar nature, whether registrable or not and whether registered or not, and any applications for registration or rights to make such an application. We grant User a non-exclusive, worldwide license to use our trademarks for the purpose of identifying MapZot as the source of Outputs in User’s products or marketing materials. The User will not remove from the Outputs any trademarks or copyright notices indicating that MapZot is the source of the Outputs and will comply with all reasonable written instructions regarding the use of our trademarks or copyright notices that it receives from time to time. We shall use commercially reasonable efforts to keep third-party Data used by the Platform up to date and valid. User acknowledges and agrees that (i) the Data originates from third parties and consists of publicly available and privately obtained sources and (ii) we make no representation or warranty whatsoever with respect to the underlying Data included in any Output. For avoidance of doubt, nothing in this Agreement constitutes a transfer of any Intellectual Property Rights.
14.DATA SECURITY
Client shall use commercially reasonable measures to (i) safeguard and ensure the security of the Data while in its possession, (ii) protect the Data it possesses from any unauthorized access, disclosure, duplication, use, modification, or loss, (iii) prevent and discover any computer virus (or any similar or other damaging components) and (iv) implement and continuously maintain anti-virus, firewall's and cybersecurity defenses that comply with prevailing industry standards, aimed specifically at preventing unauthorized access and data breaches. Without limiting the foregoing:
- You shall not make any attempt to combine or interface the Platform with any third-party entities for the purpose of creating insights, data scraping, automating processes, or uploading reports to third-party format conversion software at any point during the licensing period.
- You shall not share passwords to the Platform or access the Platform from public Wi-Fi or give any unauthorized person access to the Platform.
- You shall use commercially reasonable efforts to prevent phishing, maintain secure email practices and identify and handle malicious communications.
We shall use commercially reasonable measures to (i) safeguard and ensure the security of the Data while in its possession, (ii) protect the Data it possesses from any unauthorized access, disclosure, duplication, use, modification, or loss, (iii) prevent and discover any computer virus (or any similar or other damaging components) and (iv) implement and continuously maintain anti-virus, firewall's and cybersecurity defenses that comply with prevailing industry standards, aimed specifically at preventing unauthorized access and data breaches.
15.UPDATES
You will receive regular notifications as the data gets updated, on a rolling basis monthly. You will receive these Data updates as well as enhancements and updates to the solutions and products identified on the Solutions, Products & Pricing page at no additional fee. MapZot may provide limited period access to additional tools free of charge to the User at our sole discretion. We reserve the right to withdraw such promotions without prior notice to the User.
16.DISCLAIMER OF WARRANTIES
We work to provide the Data and the Outputs in a manner that is as accurate and up to date as reasonably possible. The Outputs will be provided in the format specified in the Subscription Plan or Order Agreement. Any updates to the Outputs will be provided via the Platform. We warrant to the User that a) the Data and the Outputs shall be regularly updated, and b) to our actual knowledge, the Data and the Outputs will not contain any computer virus.
17.LIMITATION OF LIABILITY
In no event shall either party be liable to the other party, regardless of the form of action or theory of recovery, in association with this Agreement for any indirect, special, exemplary, consequential, incidental, or punitive damages; lost profits, lost revenue, lost business expectancy, or business interruption losses. The maximum amount for which we may be liable in any year shall not exceed the amount of any Fees paid by you to us in such calendar year. Notwithstanding any other provision to the contrary in this Agreement, User acknowledges and agrees that the Outputs created through the use of the Platform are based in part on Data over which we have no control, and that MapZot is not responsible for the success or failure of any decision or action taken by the User in reliance on, using or taking into account any Output from the Platform. User further acknowledges and understands that User is solely responsible for conducting its own due diligence, including but not limited to financial, legal and market research, before making any decisions or taking any actions based on the information and other Outputs provided by the Platform. We do not assume any responsibility or liability for the consequences of User’s decisions and User should seek expert advice when necessary.
18.FORCE MAJEURE
18.1 Definition of Force Majeure
Neither party shall be held liable for any failure or delay in performance of their obligations under these Terms of Service (other than for the payment of money) due to causes beyond their reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor strikes, pandemics, telecommunications failures, internet or network outages, or any other event or circumstance beyond the reasonable control of the party affected (a "Force Majeure Event").
18.2 Effect of Force Majeure
If a Force Majeure Event occurs, the affected party’s obligations will be suspended for the duration of the Force Majeure Event, and the affected party will make reasonable efforts to mitigate the impact of such event on its ability to perform its obligations under these Terms of Service. The affected party shall notify the other party promptly after the occurrence of a Force Majeure Event and provide an estimate of the expected duration of the delay.
18.3 No Liability for Force Majeure
Neither party will be liable for any loss, damage, or delay caused by a Force Majeure Event. This includes, but is not limited to, delays in providing services, failures to perform services, or failures to fulfill obligations arising from these Terms of Service.
19.INDEMNIFICATION
You agree to indemnify, defend, and hold harmless MapZot, its officers, employees, agents, subsidiaries and affiliates, from any claims, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Services, violation of this Agreement, or infringement of any third-party rights.
20.GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement will be governed by and construed in accordance with the laws of the State of Georgia. Any disputes arising out of or relating to this Agreement will be resolved through binding arbitration in State of Georgia.
21.SEVERABILITY
If any provision of this Agreement is deemed unenforceable, illegal, or invalid, the enforceability, legality, or validity of all other provisions shall not be affected, and the affected provision shall be declared severable.
22.FEEDBACK
The Client may provide feedback to us regarding the Platform, the Outputs, or any other of our services or products, and its functionality, presentation, or the like (“Feedback”). We may use any Feedback as it sees fit, free of any claims by you to intellectual property or other rights to the Feedback.
23.USER’S RESPONSIBILITIES REGARDS ACCESS
User, whether an individual or a company, is responsible for the conduct of its Users or those they provide access to, and for ensuring the Users always abide by the terms of the Agreement in their use of the Platform.
24.METHODS OF DELIVERY
MapZot offers delivery of services through its Platform, a cloud-based SaaS (Software-as-a-Service) solution. Approved Users will be provided with individual login credentials, facilitating access to the Platform. User shall appoint an Administrator to manage and be responsible for access permissions of all Users.
25.ADDITIONAL PRODUCTS, TOOLS OR SERVICES
The User may request additional Products, Tools, and Services from us. Such requests will be subject to additional charges to you, which will be negotiated and agreed to by the Parties in writing as the requests arise. User may only remove products, tools or services at the time of Renewal.
26.SUPPORT AND TRAINING
All support and training are delivered directly through the MapZot.AI platform. Users have access to a comprehensive suite of self-paced learning resources, including step-by-step walkthroughs, on-demand training videos, real-world case studies, and an interactive training chatbot that provides real-time answers to product-related questions. These tools are designed to enable users to onboard, learn, and troubleshoot independently.
In addition, enterprise customers receive dedicated support, including personalized onboarding assistance, priority response, and access to scheduled video call sessions with our support and training team.
27.MAINTENANCE
The Platform may be temporarily unavailable for scheduled maintenance or for unscheduled outage maintenance, either by us or by third party providers, or because of other causes beyond our reasonable control, but we shall use reasonable efforts to provide advance written notice of any scheduled service disruption.
28.ACCESS AND CREDITS
The Access and Credits the User will be granted is provided for in the Subscription Plan or Order Agreement.
29.NOTICES
All notices required under this Agreement must be in writing and delivered either through the MapZot.AI platform or by email to the recipient’s designated email address. Notices to MapZot.AI must be sent to View Email. A notice shall be deemed received when made available via the platform or, if sent by email, on the date it is transmitted, provided no delivery failure notification is received. Each party is responsible for maintaining accurate and up-to-date contact information, including a valid email address, for the purpose of receiving such notices.
30.GENERAL TERMS
This Agreement constitutes the entire understanding of the Parties with respect to the stated subject matter and replaces any previous or contemporaneous written or oral communications, promises, or understandings. The Agreement is binding upon the Parties and their successors and assigns. The Parties are not partnering or joint venturers and nothing in the Agreement shall be construed to make them partners or joint venturers or impose liability on any party as such. The Agreement is governed exclusively by the laws of the United States and the State of Georgia. All disputes or claims arising out of or relating to the Agreement, or the breach thereof, shall be brought in a state or federal court located in Atlanta, Georgia, and both Parties expressly submit to the jurisdiction of such courts. The prevailing party in any legal action brought to enforce this license shall be entitled to legal fees and costs. No course of conduct, action, or inaction on either party’s part shall be deemed a waiver of any of our rights under the Agreement.
31.LOGO RIGHTS
We are authorized to use User's corporate logo on its website. We may use the logo in additional marketing and promotional content with prior approval.
Changes to the Terms
We reserve the right to modify or update these Terms of Service at any time. When we do, we will post an updated version on our website. Your continued use of the Services after the changes will constitute your acceptance of the modified Agreement.
32.MISCELLANEOUS
- Entire Agreement: The Terms of Service, Privacy Policy, and either the Subscription Plan or Order Agreement together constitute as the entire Agreement between you and us regarding the use of the Services.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will remain in full force.
- Assignment: You may not assign or transfer this Agreement without our prior written consent.
